Minneapolis. – Corporate Secretary magazine has announced that the publication is honoring UnitedHealth Group (NYSE: UNH) for the company’s advances in corporate governance. Dannette Smith, Secretary to the Board of Directors, was chosen from among 150 nominees from a broad cross-section of U.S. businesses as Corporate Secretary of the Year for 2008. UnitedHealth Group was also given the award for the best approach to board member induction and training. Corporate Secretary magazine publishes in-depth news, analysis and commentary on corporate governance, regulatory measures and compliance for corporate secretaries, general counsel and governance professionals in North America.

Dannette Smith was formally appointed Secretary to the Board of Directors of UnitedHealth Group on October 30, 2007, having served as acting secretary since October 2006. She joined the corporate legal team in June 2004. Previously, Ms. Smith was a partner at the Minneapolis law firm of Dorsey and Whitney. She graduated magna cum laude from the University of California Hastings Law School in 1994.

UnitedHealth Group’s two-tiered director orientation program for new members includes a new director handbook and a series of orientation meetings that occur throughout the course of a new director’s first year. The new director handbook is intended to provide the director with a thorough overview of the key governance and compliance policies of the Board of Directors, management and other director contact information, business overview and recent developments.

Orientation meetings occur during the first year and include in-depth, one-on-one meetings with each of the company’s executive officers, other key business leads and external auditors to develop thorough understanding of the business, including staffing and structure, strategies, competitive landscape, opportunities and challenges, compensation design and philosophy, and key accounting policies and practices.
