Imtech strengthens its ICT position in Germany and Switzerland

Partnerships with IBM and Microsoft reinforced once again

September 4 2007, Gouda, The Netherlands - Imtech (technical services provider in Europe) announces that via Fritz & Macziol acquired last year, it is taking over all shares in both German X-Wert Consulting GmbH and Swiss Interex AG. The acquisition price (including earn-out) is based on six times the EBITA and will be paid in cash. Both acquisitions will contribute immediately to the profit per share.

Imtech’s strategy
Imtech incorporates electrical engineering, ICT and mechanical engineering into total solutions. Information and communication technology’s role in this is growing rapidly. Business Intelligence and umbrella ICT applications increasingly dominate the total technological solutions from Imtech. Co-operation with world market leaders like IBM and Microsoft is therefore also important for Imtech’s further development and growth. The acquisition of X-Wert Consulting and Interex fits in perfectly with this strategic framework. All the more since Imtech took over Fritz und Macziol, a strong German ICT player and partner of importance of IBM and Microsoft, in July 2006. X-Wert Consulting will act as a full-fledged region (Duisburg region) within Fritz und Macziol. Fritz & Macziol has not yet secured a strong position in this region. Interex will be linked to the Swiss business unit of Fritz & Macziol (Rosenheim). Integration of both Swiss businesses will result in the creation of a small but fully functional ICT business. The management of both ICT businesses will remain in place after the acquisition. In May 2007 Imtech also took over IBM partner BMS Systems IT Solutions in order to build up an ICT position in the German Frankfurt region.

Profiles of X-Wert Consulting and Interex
Both acquired ICT companies are specialised in consultancy, software development, software licences, hardware and services. As an IBM partner, X-Wert Consulting is located in Rheinbach in Western Germany, near Duisburg. The company works for more than twenty steady clients. Interex has been successfully active in Switzerland for 12 years already and is partner to both IBM and Microsoft. The business is already co-operating closely with the Swiss business unit of Fritz & Macziol (Rosenheim). In 2006 both companies in total realised a revenue of more than 4.5 million euro employing fifteen ICT specialists.
