Swiss AMF AG is outlining how companies can evaluate whether a token offering serves a credible commercial purpose before committing to development, fundraising or a crypto token white paper. Its assessment framework focuses on the underlying business, the token’s function, the intended participants and the legal structure required for the proposed offering.

The approach is relevant beyond cryptocurrency startups. Businesses in real estate, financial services, technology, artificial intelligence, gaming, energy, commodities, environmental markets, art and intellectual property may have assets, products or ecosystems for which tokenization offers a practical use.

Potential Benefits: Capital, Assets and Participation

A properly structured token offering can provide an additional financing route alongside equity, debt and other conventional funding. Depending on the token’s rights and applicable law, it may also connect fundraising with the development of a user community or participant network.

Tokens can provide access to applications and services, support memberships and rewards, or represent defined economic rights relating to assets. Potential benefits include fractionalisation, digital transfer and programmable rules for access, payments, rewards or administration. Secondary-market liquidity depends on an appropriate market and is not assured.

Examples include service-access models for technology platforms, resource participation in AI networks, in-game economies, customer loyalty programmes and structures involving property, commodities or royalties. Seven Characteristics of a Credible Token Project

Swiss AMF identifies seven foundations for evaluating a proposed token offering: an existing business, product or asset; a clear function for the token; an identifiable market or community; credible token economics; a defined use of funds; experienced management; and adequate resources for execution.

Token economics should address supply, allocation, distribution, vesting, incentives, treasury holdings and the relationship between utility and demand. Where capital is being raised, the company should explain how the proceeds will support development, expansion, infrastructure or other identified needs.

A realistic plan also covers legal and regulatory analysis, technical development, cybersecurity, documentation, compliance and ongoing operations. A smart contract alone does not establish a viable token business.

Swiss Regulatory Classification Depends on Economic Function

FINMA’s ICO framework distinguishes payment, utility and asset tokens and recognises hybrid forms. Under that framework, a utility token is not treated as a security when it exclusively provides digital access to an application or service and is usable for that purpose when issued. Tokens with an investment function may instead be treated as securities.

A genuine utility-token structure therefore does not automatically entail a securities prospectus process. The token’s actual rights, functionality, distribution and jurisdictions determine the applicable requirements; the “utility token” label alone does not establish its regulatory treatment.
