Henkel holds Annual General Meeting 2026

At the Annual General Meeting of Henkel AG & Co. KGaA on April 27, 2026, the shareholders approved all agenda items. A total of about 87 percent of the voting capital stock was represented. As in the previous year, the Annual General Meeting was held as an in-person event at the CCD-Stadthalle in Düsseldorf.

Dividend increase resolved

As proposed by the relevant bodies, the Annual General Meeting approved a dividend increase of 1.5 percent for both share classes. A dividend of 2.07 euros per preferred share and 2.05 euros per ordinary share will be paid. The payout ratio thus amounts to around 38 percent and is within the targeted range of 30 to 40 percent of adjusted net income. In total, Henkel will pay dividends of approximately 840 million euros.

Stefan Hartung succeeds Jean-François van Boxmeer on the Shareholders’ Committee

In the supplementary election to the Shareholders’ Committee, Stefan Hartung was elected as successor to Jean-François van Boxmeer, who has resigned as a shareholder representative with effect from the end of the 2026 Annual General Meeting and left the Shareholders’ Committee.

Transfer of the Henkel Consumer Brands and Adhesive Technologies business units into separate legal entities

The Annual General Meeting also approved the proposal for the further development of the company, providing the establishment of separate legal entities for the two business units Adhesive Technologies and Consumer Brands in Germany. Henkel’s Management Board had already announced this initiative in spring 2025 and discussed and agreed the proposal in detail with the relevant supervisory bodies. The aim is to make the company’s processes and structures more agile, and to better support the future needs of its businesses and the growth agenda of the Henkel Group. The strategic and operational management of the Group and its business units will remain unchanged.
