Delphi Files Registration Statement With SEC

TROY, MI -- Delphi Corporation today filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission (SEC) relating to a proposed offering of rights to purchase shares of common stock of Delphi. The registration statement was filed in connection with the previously disclosed Equity Purchase & Commitment Agreement dated January 18, 2007 that Delphi entered into with its Plan Investors (affiliates of Cerberus Capital Management, L.P., Appaloosa Management L.P., and Harbinger Capital Partners Master Fund I, Ltd., as well as with Merrill Lynch & Co. and UBS Securities LLC).

The registration statement relates to the rights and shares of common stock for which the rights may be exercised. Although it has been filed with the SEC today, it has not yet become effective.
