WEBWIRE

ARLINGTON, Va. – In a move to strategically expand its business in the growing military health market, Accenture Federal Services (AFS) has agreed to acquire ASM Research, Inc., a leading provider of advanced information solutions and services to U.S. defense and federal health clients. The acquisition will expand Accenture’s capabilities and opportunities with the Department of Defense (DoD) and Veterans Affairs (VA). ASM Research will become a wholly owned subsidiary of AFS. Terms of the transaction were not disclosed and the acquisition is subject to regulatory review and other customary closing conditions.

“This strategic acquisition will expand our U.S. federal health capabilities, serving the needs of military personnel and veterans, and will help us better support clients in our growing health business across North America,” said Steve Rohleder, Accenture’s group chief executive who leads the Health & Public Service operating group.

An employee-owned company headquartered in Fairfax, Va., ASM Research has three decades of government experience and expertise in healthcare IT, information solutions and services, data analytics, cloud, data warehousing, human capital management and benefit solutions and agile software development.

“I’ve served at ASM Research for more than 30 years helping to build this great company. We needed the right partner to take us to the next stage in our growth and Accenture was the perfect choice because of its shared commitment to both employees and clients,” said ASM Research CEO Jeri Lassiter. “Accenture stands out among systems integrators in its ability to deliver important and complex mission solutions across the enterprise and we’re excited to join forces to make a difference for our clients and our people.”

“ASM Research has strong U.S. military and federal health credentials, a success-oriented culture, extremely talented and committed people and a rich technology portfolio backed by decades of mission expertise. Acquiring the company will expand the offerings and value we provide to DoD and position us to deliver our compelling clinical, benefits and business solutions to federal health agencies going through a once-in-a-generation modernization,” said David Moskovitz, Accenture Federal Services chief executive. “Jim Traficant, AFS managing director, will lead the new subsidiary company. His personal conviction and decades of government, defense and healthcare experience make him uniquely qualified for this critical position.”

many of Accenture’s contracts include payments that link some of its fees to the attainment of performance or business targets and/or require Accenture to meet specific service levels, which could increase the variability of Accenture’s revenues and impact its margins; changes in Accenture’s or ASM Research’s level of taxes, and audits, investigations and tax proceedings, or changes in Accenture’s treatment as an Irish company, could have a material adverse effect on Accenture’s or ASM Research’s results of operations and financial condition;
