Appointment of the Chairperson of the Board of Directors after the passing of Paolo Pininfarina

Pininfarina S.p.A.’s Board of Directors, met today after the passing of Paolo Pininfarina, who was honoured through the words of CEO Silvio Angori, who opened the meeting:

“Gathering today for the first time without the guidance of Mr. Pininfarina with the entire Board of Directors and the Board of Statutory Auditors, as our first act, we tender heartfelt and full testimony for his contribution to the Company and his passionate commitment to preserving our history and corporate identity.

Mr. Pininfarina has been a point of reference for all of us, to whom we look with admiration and respect. Together, we have shared triumphs and faced challenges, always supporting each other. The demonstrations of affection and solidarity from around the world towards the Pininfarina family and the Company have been numerous, attesting to his human stature. From the emotion of these days, we will draw the strength to face the future with determination, carrying forward the values and objectives that Mr. Pininfarina so fervently supported.”

The Board of Directors resolved to appoint, pursuant to art. 17 of the bylaws, as Chairperson of the Board of Directors Lucia Morselli, independent and non-executive director of the Company and member of the Nomination and Remuneration Committee, who accepted.

The Board of Directors granted Lucia Morselli powers of legal representation of the Company pursuant to art. 22 of the bylaws and the institutional powers conferred by the law and the bylaws, without delegating executive powers and without the powers conferred being in any way deemed to be executive.

Morselli will remain in office until the term of the Board of Directors currently in office expires, with the shareholders’ meeting held to approve the financial statements at December 31, 2024.

Based on the information made available to the Company, as of today Mrs. Lucia Morselli does not own, directly and/or indirectly, any Pininfarina S.p.A.’s shares.

The Company’s Board of Directors will co-opt a new director, in compliance with applicable legal and regulatory requirements, giving the market timely notice of the appointment.

Lucia Morselli, born on July 9, 1956, in Modena, Italy, graduated summa cum laude in Mathematics from Pisa University in 1979 and obtained a Ph.D. in High Mathematics at Sapienza University in Rome, an MBA at Turin University and a Master’s degree in Public Administration at Bocconi University of Milan. Throughout her professional career, she has held key positions on boards of various industries. Among other, she was director and chairperson of the Related Parties Committee at Telecom Italia, director and chairperson of the Audit Committee at EssilorLuxottica in Paris, director and member of the Risk Committee at STMicroelectronic in Amsterdam, director and member of the Audit Committee and Sustanability Committee at Snam, director and member of the Risk Committee at Atlantia, director and member of the Risk Committee at Sisal, director at Fondazione Snam and Vice President in Federacciai.
