GC-Global Capital Announces Completion Of Equity Offering

TORONTO, ONTARIO -- GC-Global Capital Corp. (“Global Capital”) (TSX VENTURE: GDE.A) is pleased to announce that it has completed its previously announced equity offering, for gross proceeds of approximately $5.5 million through the issuance of 4,782,609 units at a price of $1.15 per unit. The offering included a full exercise of the green shoe option by the underwriters for $500,000. Each unit is comprised of one subordinate voting share and one-half of one share purchase warrant. Each whole warrant entitles the holder to purchase an additional subordinate voting share at a price of $1.50 per share at any time and from time to time until September 16, 2008. The underwriting syndicate was led by Laurentian Bank Securities Inc. and included Research Capital Corp.

The units issued under this offering were offered by way of a short-form prospectus in the provinces Ontario, Quebec and British Columbia.

Net proceeds from the offering will be used to continue to fund Global Capital’s growing merchant banking activities.
