Bergman & Beving has concluded an agreement to acquire 100 percent of the shares outstanding in TOOLS Industribehov Gjøvik AS (Industribehov) in Gjøvik. Industribehov is one of the leading industrial reseller operations in eastern Norway. With this acquisition, Bergman & Beving and the TOOLS chain strengthen their positions as suppliers to Norwegian industry and public administration. Industribehov has annual revenues of approximately MNOK 35 and 20 employees.

The customers are mainly companies in the industrial sector, including mechanical industry and craftsmen, as well as the public administration and the Norwegian armed forces. The product line includes tools, fastening elements, roller bearings, electrical hand tools, industrial gases, personal protection equipment, work clothes and other industrial consumables. Industribehov offers customised solutions with a high level of service, competence and accessibility.

After elimination of the Bergman & Beving Group’s current sales to Industribehov, the Group’s annual net revenues are expected to increase by approximately MNOK 30. Closing is expected to take place in the end of August 2006 after approval has been obtained from the relevant authorities. The acquisition is expected to have a marginally positive effect on Bergman & Beving’s earnings per share from the closing of the acquisition.
