United We Geek – Independent Owners Association of Geeks on Call America, Inc. Franchisees Responds to Claims Against Geeks on Call America, Inc.

Individual Franchisees filed 10 lawsuits against Geeks on Call America, Inc. and Geeks on Call Holdings, Inc.

Reston, VA December 23 2008:

United We Geek, the Independent Franchise Owners Association of Geeks on Call America, Inc. announced today that 10 UWG members filed individual lawsuits against Geeks on Call America, Inc. and its parent company Geeks on Call Holdings, Inc. All ten suits were filed in accordance with the terms of the franchise agreements which call for lawsuits to be filed individually in Norfolk, Virginia. Six were lodged in federal district court and four in state circuit court.

United We Geek was formed in early September 2008 to help resolve longstanding issues with Geeks on Call management and to formulate contingency plans in the event of bankruptcy filings by the two Geeks companies. Requests by United We Geek for face to face meetings were rejected. Geeks management chose instead to allege trademark infringement by United We Geek for the mere mention on a website of the organization’s purpose as an association of Geeks on Call franchisees.

Strong acknowledgments of “going concern” have been included in the Geeks on Call America, Inc.’s audited financial statements. Facing a significant possibility of a franchisor bankruptcy, United We Geek members made inquiry to vendors looking for a potential replacement dispatch system. All discussions were efforts at exploring available options. Claims by Geeks management through legal counsel that United We Geek is engaged in establishing a competing business, demonstrates management’s unwillingness to deal fairly with their franchisees or acknowledge the financial reality.
