NETWORK DYNAMICS, INC. ACQUIRES FIRST VIRTUAL COMMUNICATIONS ATM NETWORK SUPPORT BASE

Tampa, Florida and Redwood City, California – October 14, 2004 – Network Dynamics, Inc. (NDI), a network technology and life cycle solutions provider, announced today that they have acquired the Asynchronous Transfer Mode (ATM) service base of First Virtual Communications, a network communications solutions provider.

Based on a decision to discontinue offering its line of ATM networking products, First Virtual decided to look for someone to purchase the ongoing support service base for these products. The product line includes switches, gateways, video conferencing endpoints and network adapters. NDI learned of the opportunity through existing sales channels and, after a successful negotiation, quickly solidified the agreement. As a result of the acquisition, NDI acquired First Virtual’s support service base, including customer contacts, product inventory, spare parts, bill of materials and trademark/brand name licenses.

Since finalization of the agreement, NDI has made initial contact with the entire ATM support service base and has provided them with the transitional information necessary to obtain support. In addition to their standard onsite support service, NDI will offer telephone diagnostics support, as well as parts repair services to their new customers.
