Eastbiz.com, which operates an online incorporating service for all fifty states, reviewed data of 1,900 clients located throughout the U.S. who recently chose to incorporate their businesses. The results revealed that over 95% of the recent incorporations performed by Eastbiz.com were for the state of Nevada.

The popularity of Nevada as a state for incorporation may be a result of its current business-friendly laws. Nevada has no corporate income tax, no taxes on corporate shares, no franchise tax, no personal income tax, no I.R.S. information sharing agreement, nominal annual fee, minimal reporting and disclosure requirements, and the names of stockholders are not a matter of public record. Additionally, stockholders, directors and officers need not live or hold meetings in Nevada, or even be U.S. citizens; officers and directors of a Nevada corporation can be protected from personal liability for lawful acts of the corporation; and Nevada corporations may issue stock for capital, services, personal property, or real estate, including leases and options with the directors determining, and having final say, in the value of any of these transactions.
