Intended acquisition division of A. Hak Industrie (NL)

3 August 2006, Gouda – Imtech N.V. (technical services provider in Europe) announces its intention to acquire the mechanical industrial activities of A. Hak Industrie in the Netherlands. With some 215 employees, this division realises annual revenues of about 25 million euro. The acquisition fits in with Imtech’s strategy for further growth in the Dutch industrial market and contributes directly to the earnings per share.

Profile of the A. Hak Industrie division intended for acquisition

The A. Hak Industrie division to be acquired is situated in the Botlek area and specialises in mechanical engineering maintenance and service to industrial (process) systems. Its core activity is performing industrial maintenance on the basis of long-term performance contracts. Other activities include shutdowns, smaller industrial projects and (technological) upgrading projects. The division of A. Hak Industrie works for clients such as Shell, Lyondell, Shin Etsu, Hexion and Corus. The organisation complies with all necessary industrial certification (ISO, VCA, etc.), works in accordance with the latest national and international codes, has an excellent reputation in the industrial market and is renowned for its professional approach to maintenance.

After the definitive sale of its industrial activities to Imtech, A. Hak Industrie will concentrate on tank construction and offshoring.

Transaction

The transaction will be carried out as an asset deal, according to which Imtech will acquire all long-term industrial maintenance contracts and the entire clientele, as well as all knowledge and know-how, the entire staff, equipment and any directly related lease contracts (vehicles, for example) and other contracts.

Synergy

The activities to be acquired will be integrated into Imtech Industry to strengthen the mechanical engineering competency. Clients can now approach Imtech Industry for an integrated package of industrial services, comprising mechanical and electrical engineering, instrumentation and automation, including maintenance and services. As Imtech Industry is already one of the key players on the Dutch industrial market, the acquisition clearly strengthens that position. Recently, Imtech had announced a comparable, but smaller, strengthening of its mechanical services with the acquisition of the Industrial Maintenance unit of Emmtec Services (a former division of NUON). The co-partnership organisations and trade unions have been informed.
