Completion of Acquisition of Industrial Valve Unit (Mipel) of Lupatech S.A.

Please be advised that Duratex S.A. (“Duratex”) completed the acquisition of all the shares in Indústria Metalúrgica Jacareí Ltda. (MIPEL), a unit of industrial valves of Lupatech S.A., reason for Notice to the Market of May 28, 2012, by signing the Definitive Agreement for Purchase and Sale worth R$ 45 million.

This acquisition will increase the supply of Deca Division products in the segment of industrial valves made of bronze, in addition to aggregate annual manufacturing capacity equivalent to 780 thousand pieces per shift.

Please remember that this acquisition is included in a larger Duratex´s expansion plan.

Deca Division is in a phase of adding, in the Jundiaí unit / SP, 1.2 million pieces per year, reaching 18.2 million in metal fittings capacity, besides signing Binding Proposal to acquire Thermosystem Electro Electronica Ltda., a company specializing in manufacturing electronic showers and solar heating systems, reason for Notice to the Market dated September 24, 2012. In the segment of sanitary ware, there is expected to open in early 2013, a new unit in Queimados / RJ, with an annual capacity of 2.4 million pieces.

In the Wood Division, there are being carried out two important investments, one facing the opening in 2013 of a new MDF plant in Itapetininga/ SP with effective capacity of 520 thousand m³ per year, and the second, debottlenecking the capacity of MDP panels´supply, the unit in Taquari / RS, to 710 000m3.

Besides these, there was made strategic investment in acquiring relevant participation of 25% in Tablemac, leading manufacturer of panels in the Colombian market. This participation should be increased to 37% in October.
