Rejlers’ business in nuclear power expands

Råbe Industrikonsult and Rejlers have decided to join forces to strengthen their offers to the nuclear power sector.

Råbe Industrikonsult, with offices in Västerås, Sollentuna, Forsmark, Kalmar, Helsingborg, Gothenburg and Örnsköldsvik, offers services in project management, process design and plant construction, strength and flow calculations and risk analysis, mainly to the nuclear industry. The company has around 70 employees including subcontractors. The acquisition will complement Rejlers’ offer to the Swedish and Finnish nuclear industry. Sture Leandersson, who together with Gunnar Råbe sells all the shares of the company, will continue as senior responsible for nuclear power in Rejlers. Råbe Industrikonsult has a turnover of around SEK 80 million with good profitability and will for the present continue as an independent subsidiary in Rejlers.

Sture Leandersson says in a comment “Råbe Industrikonsult will get great opportunities to continue to act as a strong alternative consultant in the nuclear power sector and together with Rejlers we can continue to grow in both Sweden and Finland. For me, it means that I can focus on customers and marketing in the coming years.”

The acquisition will be realized partly by a share issue of 500 000 shares of series B, and partly by cash payment of approximately SEK 45 million. The Board’s decision on a new share issue is made pursuant to authorization by the AGM and will be based on an average market exchange rate between 3-15 September 2010. The share issue involves a dilution of 2.2 per cent of the votes and 4.4 per cent of the capital. The acquisition means that earnings per share, pro forma, will increase by around SEK 0.9 per share on a yearly basis. Access is expected by 1st October 2010.
